In August 2014, Dairy Farmers of America, Inc. (“DFA”) sponsored a golf outing for its employees at Tanglewood Golf Course in Mercer County, Pennsylvania. As a condition of attendance, DFA required employees to provide a “monetary contribution to offset costs and expenses” associated with the event, which it used to pay for items such as “greens fees, food and alcohol.” One of DFA’s employees, Roger Williams, made the contribution and attended the golf outing. According to Appellant David Klar, DFA had reason to know that Williams was an alcoholic and that he previously had been arrested for driving under the influence of alcohol. At the event, Williams’ alcohol consumption was unsupervised, and he drank beyond the point of visible intoxication. Williams departed the golf outing in his car. While driving, Williams encountered Klar, who was operating a motorcycle in the southbound lane. Williams swerved across the center line into Klar’s path. The resulting collision caused Klar to suffer numerous and grievous injuries. Klar sued both Williams and DFA, contending that they were jointly and severally liable for his injuries. This case calls upon the Pennsylvania Supreme Court to revisit precedents that have prevailed for half a century and that imposed liability upon persons and entities licensed to engage in the commercial sale of alcohol while limiting the liability of non-licensees and “social hosts.” The lower courts applied these precedents to conclude that an organization which hosted an event at which alcohol was provided, but was not a liquor licensee, could not be held liable for injuries caused by a guest who became intoxicated at the event. The issue this case presented for the Pennsylvania Supreme Court's consideration was whether the Commonwealth Court abused its discretion when, sua sponte, it issued a remand to the Office of Open Records (“OOR”) for additional fact-finding after that court already had determined that the agency subject to the record request failed to meet its burden of proving that an exception to disclosure requirements applied. To this the Court concluded that such an abuse of discretion occurred, and accordingly judgment was reversed. The Court remanded this matter to the Commonwealth Court for further proceedings. During their employment with Dialysis Clinic, Inc. (DCI), the Doctors maintained staff privileges and worked at Washington Hospital. In 2013, Alyssa McLaughlin was admitted to the Hospital and received treatment from, among other medical staff, the Doctors, Kathryn Simons, M.D., Anne F. Josiah, M.D., Thomas Pirosko, D.O., and Ashely Berkley, D.O. At some point during or after that treatment, McLaughlin sustained severe and permanent neurological injuries. Attributing those injuries to negligence in her treatment, McLaughlin and her husband, William McLaughlin (collectively, the McLaughlins), initiated an action against the Doctors, the Hospital, and the other physicians noted above who were responsible for her care. The issue this case presented for the Pennsylvania Supreme Court's review centered on whether, as a matter of law, the Hospital could seek contribution and/or indemnity from DCI for negligence committed by DCI’s employees (the Doctors). The trial and superior courts both concluded that, although traditional principles of contribution and indemnity did not apply cleanly these particular circumstances, equitable principles of law permitted the Hospital to seek both contribution and indemnity from DCI. As a result, the trial court denied DCI’s motion for summary relief, and the superior court affirmed. The Supreme Court was unanimous in finding that, if the Hospital and DCI were determined to be vicariously liable for the negligence of the Doctors, the law permitted the Hospital to seek contribution from DCI. The Court was evenly divided on the question of whether the Hospital could also seek indemnification from DCI. Mimi Investors, LLC (“Mimi Investors”) sued Paul Tufano, David Crocker, Dennis Cronin, and Neil Matheson (“ORCA Officers”), the directors and officers of ORCA Steel, LLC (“ORCA Steel”), a now-defunct data storage company, alleging that ORCA Officers made material misrepresentations of fact in violation of the Pennsylvania common law and Section 1- 401(b) of the Pennsylvania Securities Act ("PSA"). Mimi Investors described a meeting held in February of 2014 during which ORCA Officers allegedly represented to Mimi Investors that they had received 400 orders for computer data storage space (“CDS Orders”) for ORCA Steel’s new data storage facility. To secure financing for the purpose of servicing the CDS Orders, ORCA Officers sought promissory notes to increase capital. In October 2014, ORCA Steel ceased making interest payments on the loan. ORCA Steel did not respond to Mimi Investors’ demand letter, sent in August 2015, which sought to cure the default. Mimi Investors asserted that neither “construction financing nor the fulfillment of the new orders materialized.” It also averred that, on October 21, 2014, ORCA Officers told Mimi Investors that they “had known for months that the loan to fund new construction was not viable” because the CDS Orders were “not investment grade.” Mimi Investors claimed that “these misrepresentations regarding available construction financing and committed orders, as well as other statements by” ORCA Officers, “were material and untrue within the meaning of the” PSA, and that Mimi Investors “relied on these misrepresentations in deciding to make the [l]oan[.]” In a matter of first impression, the Pennsylvania Supreme Court addressed whether a plaintiff must plead and prove scienter as an element of 70 P.S. § 1-401(b) of the PSA. After careful review, the Court held that under the plain language of its text, Section 1-401(b) of the PSA did not contain a scienter element. However, the PSA provided a defense to civil liability under Section 1-401(b) if the defendant could show they “did not know and in the exercise of reasonable care could not have known of the untruth or omission[.]” View "Mimi Investors, LLC v. The Bert Company, dba Northwest Insurance Services (“Northwest”), was an insurance brokerage firm with clientele in northwestern Pennsylvania and western New York. From 2005 to 2017, Matthew Turk (“Turk”) was employed as an insurance broker with Northwest. First National Insurance Agency, LLC (“FNIA” or "First National") was an insurance brokerage firm. To grow its business in that region, First National developed a plan to takeover Northwest, initially by convincing key Northwest employees to leave Northwest for FNIA and to bring their clients with them. Through the fall and winter of 2016, Turk repeatedly met with First National about the plan with the hope that First National could gut Northwest by hiring the bulk of its highest producers, acquiring their clients, and ultimately forcing that company to sell its remaining book of clients. Pursuant to the plan, Turk remained at Northwest to convince the company to sell its remaining business to First National. Northwest refused, choosing instead to fire Turk and initiate legal action. In this appeal by permission, the Pennsylvania Supreme Court opined on the jurisprudence of the United State Supreme Court addressing the constitutionality of an award of punitive damages by a civil jury in the Commonwealth. The Pennsylvania Court's grant of allowance addressed the narrow issue of the appropriate ratio calculation measuring the relationship between the amount of punitive damages awarded against multiple defendants who are joint tortfeasors and the compensatory damages awarded. The superior court calculated the punitive to compensatory damages ratio using a per-defendant approach, rather than a per-judgment approach. The Pennsylvania Supreme Court generally endorsed the per-defendant approach as consistent with federal constitutional principles that require consideration of a defendant’s due process rights. Further, the Court concluded that under the facts and circumstances of this case, it was appropriate to consider the potential harm that was likely to occur from the concerted conduct of the defendants in determining whether the measure of punishment was both reasonable and proportionate. By 2011, due to weathering and aging, the condition of the concrete stairs leading to the entrance of the Oil City Library (the “library”) had significantly declined. Oil City contracted with Appellants Harold Best and Struxures, LLC, to develop plans for the reconstruction of the stairs and to oversee the implementation of those design plans. The actual reconstruction work was performed by Appellant Fred Burns, Inc., pursuant to a contract with Oil City (appellants collectively referred to as “Contractors”). Contractors finished performing installation work on the stairs by the end of 2011. In early 2012, Oil City began to receive reports about imperfections in the concrete surface, which also began to degrade. In September 2013, Oil City informed Burns of what it considered to be its defective workmanship in creating the dangerous condition of the stairs. Between February 28, 2012 and November 23, 2015, the condition of the stairs continued to worsen; however, neither Oil City nor Contractors made any efforts to repair the stairs, or to warn the public about their dangerous condition. In 2015, Appellee David Brown (“Brown”) and his wife Kathryn exited the library and began to walk down the concrete stairs. While doing so, Kathryn tripped on one of the deteriorated sections, which caused her to fall and strike her head, suffering a traumatic head injury. Tragically, this injury claimed her life six days later. Brown, in his individual capacity and as the executor of his wife’s estate, commenced a wrongful death suit, asserting negligence claims against Oil City, as owner of the library, as well as Contractors who performed the work on the stairs pursuant to their contract with Oil City. The issue this case presented for the Pennsylvania Supreme Court was whether Section 385 of the Restatement (Second) of Torts imposed liability on a contractor to a third party whenever the contractor, during the course of his work for a possessor of land, creates a dangerous condition on the land that injures the third party, even though, at the time of the injury, the contractor was no longer in possession of the land, and the possessor was aware of the dangerous condition. To this, the Court concluded, as did the Commonwealth Court below, that a contractor may be subjected to liability under Section 385 in such circumstances. View "Brown v. On August 4, 2014, Appellant Donna Javitz became the Director of Human Resources for Luzerne County, Pennsylvania. Her union-related responsibilities included participating in investigatory meetings for disciplinary matters involving union employees. In March 2015, the American Federation of State, County and Municipal Employees (“AFSCME” or “Union”) filed an unfair labor practice charge (“ULP Charge”) with the Pennsylvania Labor Relations Board against Luzerne County, raising allegations concerning Javitz’s conduct in two investigatory meetings. Paula Schnelly, an administrative assistant in the appellate division of the Luzerne County’s District Attorney’s Office and Union president, attended the investigatory meetings referenced in the ULP Charge as a representative for the Union members. Attached to the ULP Charge were documents in support of the allegations, among them were what appeared to Javitz to be transcripts of the investigatory meetings at issue. The highly detailed nature of the documents, as well as Javitz’s recollection that Schnelly did not take notes during investigatory meetings, gave rise to a suspicion on Javitz’s part that Schnelly recorded the investigatory meeting in violation of the Wiretap Act. Javitz took her concern to the Director of Administrative Services, David Parsnik. Together they took the matter to the Luzerne County District Attorney. The District Attorney stated that she would refer the matter to the Attorney General’s Office to investigate, as Schnelly’s employment in the District Attorney’s office created a conflict of interest. Javitz contended, she learned the County Manager, Robert Lawton, instructed the District Attorney to drop the matter. In October 2015, the Union and County settled the ULP Charge. A week later, Javitz was terminated from her position. Javitz filed suit in federal district court, naming Luzerne County, Lawton, and Parsnik as defendants. Her complaint raised federal and state claims, including a claim under the Whistleblower Law. The issue this case presented for the Pennsylvania Supreme Court related to the standard that a plaintiff must meet in order to establish a prima facie claim under Pennsylvania’s Whistleblower Law and whether the Commonwealth Court erred in its application of that standard. The Pennsylvania Secretary of the Commonwealth decertified certain voting equipment that Fulton County acquired from Dominion Voting Systems, Inc. (“Dominion”) in 2019 and used in the 2020 general election. The Secretary decertified the voting equipment after learning that, following the 2020 election, Fulton County had allowed Wake Technology Services, Inc. (“Wake TSI”), to perform a probing inspection of that equipment as well as the software and data contained therein. The Secretary maintained that Wake TSI’s inspection had compromised the integrity of the equipment. Fulton County and the other named Petitioner-Appellees petitioned in the Commonwealth Court’s original jurisdiction to challenge the Secretary’s decertification authority generally and as applied in this case. During the pleading stage, the Secretary learned that Fulton County intended to allow another entity, Envoy Sage, LLC, to inspect the allegedly compromised equipment. The Secretary sought a protective order from the Commonwealth Court barring that inspection and any other third-party inspection during the litigation. The court denied relief. The Secretary appealed that ruling to the Pennsylvania Supreme Court, which entered a temporary order on January 27, 2022, to prevent the inspection and to preserve the status quo during the Court's review of the Secretary’s appeal. Months later—and with no public consideration, official proceedings, or notice to the courts or other parties to this litigation—the County allowed yet another party, Speckin Forensics, LLC to inspect the voting equipment and electronic evidence at issue in this litigation. Upon learning of this alleged violation of the temporary order, the Secretary filed an “Application for an Order Holding [the County] in Contempt and Imposing Sanctions.” The Supreme Court found Fulton County willfully violated the Supreme Court's order. The Court found Fulton County and its various attorneys engaged in a "sustained, deliberate pattern of dilatory, obdurate, and vexatious conduct and have acted in bad faith throughout these sanction proceedings." Appellants Robert and Kelly Franks sought automobile insurance from Appellee, State Farm Mutual Automobile Insurance Company in 2013 for their two vehicles. Appellants included underinsured motorist coverage (“UIM”) in their policy but completed a form rejecting stacked UIM coverage in compliance with Section 1738(d)(2) of the Motor Vehicle Financial Responsibility Law (“MVFRL”). Absent such waiver, stacked coverage would be the default. Appellants removed one of the original vehicles and added a third vehicle to the policy effective 2014, and again rejected stacked UIM coverage. They made another change to the policy in 2015, removing the other of the original insured vehicles with a different car. No additional form rejecting stacked UIM coverage was offered or sought to be completed on the occasion of the removal of the last vehicle, and the ongoing premiums paid by Appellants reflected the lower rate for non-stacked UIM overage on two vehicles. Robert was injured in an accident caused by the negligence of a third party. That party had insufficient liability coverage to cover Robert's injuries. Appellants initiated a claim for UIM benefits under their policy with State Farm, but the parties disagreed on the limit to their benefits. Appellants contended with the last change to the policy, there was no valid waiver of stacked UIM coverage, resulting in a default stacked coverage mandated by statute. The issue presented for the Pennsylvania Supreme Court's review in this matter was whether the Superior Court erred as a matter of law by holding that removal of a vehicle from a multiple motor vehicle insurance policy, in which stacked coverage had previously been waived, did not require a renewed express waiver of stacked coverage pursuant to Section 1738(c). This appeal concerned whether Dr. Timothy Shrom and Debra Shrom were eligible under the Pennsylvania Storage Tank and Spill Prevention Act (Act) for payment from the Underground Storage Tank Indemnification Fund (Fund) for costs they incurred in remediating contamination caused by fuel releases from underground storage tanks (USTs or tanks) located on their property. The Fund concluded, and the Underground Storage Tank Indemnification Board (Board) ultimately agreed, that the Shroms were ineligible for such payment because the subject USTs were not registered with the Pennsylvania Department of Environmental Protection (DEP) as required by Section 503 of the Act and the registration fees were not paid at the time of the fuel releases that gave rise to the Shroms’ claim for remediation costs. The Commonwealth Court reversed the Board’s decision on appeal, concluding that: (1) the Shroms were eligible to receive payment from the Fund for remediation costs under the Act; (2) the Board’s holding relative to the timing of the payment of the Section 503 registration fees constituted an unlawful de facto regulation; and (3) contrary to the Board’s finding, payment of the Shroms’ claim did not appear to pose any imminent risk to the Fund’s solvency.
